Official Contest Rules – New Years Eve Hockey Tickets

OFFICIAL CONTEST RULES

MERCEDES-BENZ EDMONTON WEST “NEW YEARS EVE HOCKEY TICKETS” CONTEST

NO PURCHASE NECESSARY. THIS CONTEST IS OPEN TO AGE OF MAJORITY LEGAL RESIDENTS OF CANADA ONLY AND IS GOVERNED BY CANADIAN LAW.

IMPORTANT: PLEASE READ THESE OFFICIAL RULES BEFORE ENTERING THE MERCEDES-BENZ EDMONTON WEST “NEW YEARS EVE HOCKEY TICKETS” CONTEST. BY ENTERING THE CONTEST, AN ENTRANT REPRESENTS THAT HE OR SHE SATISFIES ALL OF THE ELIGIBILITY REQUIREMENTS BELOW AND AGREES TO BE BOUND UNCONDITIONALLY BY THESE OFFICIAL RULES AND ALL DECISIONS OF THE SPONSOR.

1. CONTEST PERIOD:

The Mercedes-Benz Edmonton West “New Years Eve Hockey Tickets” Contest (the “Contest”) begins at 4:59 p.M. Eastern Time (“ET”) on December 9th, 2015 and ends at 12:00 P.M. (ET) on December 24th, 2015 (the “Contest Period”).

2. ELIGIBILITY:

Contest is open to all legal residents of Canada who have reached the legal age of majority in their province/territor of residence at the time of entry; HOWEVER, the Contest is NOT open to employees, representatives or agents (and those with whom such persons are domiciled, whether related or not) of Mercedes-Benz Canada Inc. (the “Sponsor”), its parent companies, subsidiaries, affiliates, dealers or advertising/promotion agencies (collectively, the “Contest Parties”).

3. HOW TO ENTER:

NO PURCHASE NECESSARY. To enter, visit the Mercedes-Benz Edmonton West page on Facebook and answer the question “Who do you think will win the hockey game on New Years Eve, Edmonton Oilers or Anaheim Ducks?” using the specific Facebook post created for the Contest (the “Contest Post”) as the entry form (the “Entry Form”; collectively, a fully completed Contest Post and Entry Form submitted by an eligible entrant in the form requested by the Sponsor are referred to herein as the “Entry(ies)”). Although giving a full, complete and intelligible answer in the form of a sentence is a mandatory part of the Entry for entertainment purposes, there is no “right” or “wrong” answer and your answer does not affect your odds of winning. To be eligible, your Entry must be submitted and received within the Contest Period. All eligible Entries submitted during the Contest Period will be entered into the random drawing for the Grand Prize.

Entries should (1) Be primarily in English and/or French; (2) Not be the same as, or substantially similar to, an existing response, as determined by the Contest Sponsor in its sole discretion; (3) Not defame, misrepresent or contain disparaging remarks about the Contest Sponsor or any of its products, or other people, products or companies or communicate messages inconsistent with the positive images and/or goodwill associated with the Contest Sponsor, as determined by the Contest Sponsor in its sole discretion; (4) Be suitable for family audiences, including without limitation for display and publication on digital mediums and national television, as determined by the Contest Sponsor in its sole discretion; (5) Not contain any content that is or contains: unlawful behaviour, profanity, explicit sexuality, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or is hatefully, racially, ethnically or otherwise offensive or objectionable, as determined by Contest Sponsor in its sole discretion; (6) Comply with Facebook Terms and Conditions available at http://www.facebook.com/terms.php and Not infringe on the intellectual property rights, or defame or invade the publicity or privacy rights, of any third party, living or deceased.

There is a limit of one (1) Entry per Facebook account permitted during the Contest Period. For greater certainty, you can only use one (1) Facebook account to enter the Contest. If it is discovered that any person has attempted to:

(i) obtain more than one (1) Entry during the Contest Period; and/or (ii) use (or attempt to use) or create multiple names, identities and/or more than one (1) Facebook account to enter the Contest; then (in the sole and absolute discretion of the Sponsor) he/she may be disqualified from the Contest. Entries are subject to rejection (in the sole and absolute discretion of the Sponsor) if: (i) an Entry is not submitted and received during the Contest Period;

and/or (ii) an Entry is not otherwise in accordance with these official Contest Rules. Use (or attempted use) or creation of multiple name, identities, and/or any form of script, macro, bot or automated system to enter or otherwise disrupt this Contest is prohibited and is grounds for disqualification at the sole and absolute discretion of the Sponsor. The Releasees (defined below) are not responsible for late, lost, misdirected, delayed, incomplete or incompatible Entries. Proof of submission of an Entry shall not be deemed proof of receipt by the Sponsor.

All Entries are subject to Sponsor verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification) to participate in this Contest. Failure to provide such proof in a timely manner may result in disqualification. The sole determinant of the time for the purposes of a valid Entry in this Contest will be the Contest server machine(s).

Entry you submit; (i) you have the right and authority to, and do hereby, grant to the Contest Sponsor an irrevocable, non-exclusive, royalty-free worldwide license in perpetuity to produce, reproduce, encode, store, copy, transmit, broadcast, display, distribute, use, edit, translate, alter, combine with other material, reuse, exhibit, publish, post, adapt, create derivative works from, commercialize, trade-mark, copyright and or otherwise use without limitation all or any part of the Entry in any manner and media whether now known or hereafter devised including, without limitation, on the Contest Website, and the Facebook platform; (ii) you waive any and all moral rights that you may have in and to the Video Entry with respect to the uses contemplated herein; and (iii) you agree to release and hold harmless the Contest Parties from and against any and all claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related cause of action that relates in any way to the Contest Sponsor’s use of the Entry.

4. THE GRAND PRIZE:

There is one (1) Grand Prize (the “Grand Prize”) available to be won in the Contest, consisting of two (2) admission tickets to Edmonton Oilers vs Anaheim Ducks hockey game on December 31st, 2015.

The approximate retail value of the Grand Prize is $250 CDN.

The selected entrant is responsible for arranging with the Sponsor pickup of tickets at Mercedes-Benz Edmonton West.

Without limiting the generality of the foregoing, the following general conditions apply to the Grand Prize: (i) the selected entrant must respond to the Sponsor’s private Facebook message regarding the Grand Prize within seventy- two (72) hours of the Draw Date (see Rule 5 below). If the selected entrant does not respond within that timeframe, he/she will be forfeit the Grand Prize and a new random selection will be made. If the winner does not utilize the Grand Prize, then the Grand Prize will be forfeited in its entirety and nothing will be substituted in its place; (ii) by accepting the Grand Prize, the winner agrees to waive all recourse against the Releasees if the Grand Prize does not prove satisfactory, either in whole or in part; and (iv) the winner must all sign and return the Sponsor’s form of release (by the date indicated on the release form) indicating that he/she waives all recourse against the Releasees (defined below) relating to his/her participation in the Grand Prize.

The Grand Prize must be accepted as awarded and is not transferable or convertible to cash. No substitutions except at Sponsor’s sole option. Sponsor reserves the right, in its sole and absolute discretion, to substitute the Grand Prize with a prize of equal or greater value.

5. GRAND PRIZE DRAW:

On or about December 24th, 2015 (the “Draw Date”) at approximately 5:00 PM (ET), a random draw will be conducted at Mercedes-Benz Edmonton West from all eligible Entries submitted and received during the Contest Period in accordance with these Rules, to select the potential winner of the Grand Prize. The odds of winning the Grand Prize will depend on the number of eligible Entries submitted and received during the Contest Period in accordance with these Rules.

The Sponsor or its designated representative(s) will make a minimum of one (1) attempt to contact the selected entrant by sending a Facebook private message to the selected entrant using the information provided by such entrant with his/her Entry). The selected entrant will be given seventy-two (72) hours following the Draw Date to send a reply Facebook private message to the Sponsor. In the event that a selected entrant does not respond within seventy-two (72) hours of the Draw Date, or in the event that such selected entrant is determined to be ineligible, cannot accept (or is unwilling to accept) the Grand Prize, or does not otherwise comply with these Rules, then that selected entrant will be disqualified (and will forfeit all rights to the Grand Prize), and the Sponsor reserves the right, in its sole and absolute discretion, to randomly select an alternate eligible entrant by random draw from among the remaining Entries (in which case the foregoing provisions of this section shall apply to the new selected entrant, with appropriate adjustment of the timeframe from the date of alternative selection).

BEFORE BEING DECLARED A CONFIRMED WINNER OF THE GRAND PRIZE, the entrant will be required to: (a) correctly answer, without mechanical or other aid, a time-limited mathematical skill-testing question to be administered, at the election of the Sponsor, either by telephone or e-mail, at a mutually convenient time, or via the required declaration and release form (see below); and (b) sign and return the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) acknowledges acceptance of the Grand Prize as awarded; (iii) releases the Contest Parties and each of their respective officers, directors, agents, representatives, successors and assigns (collectively, the “Releasees”) from any and all liability in connection with this Contest, his/her participation therein and/or the awarding, installation and use/misuse of the Grand Prize or any portion thereof; (v) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph (including a photograph of the Grand Prize winner pick up) or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner whatsoever, including print, broadcast or the internet; and (vii) agrees to indemnify the Releasees against any and all claims, damages, liabilities, costs, and expenses arising from use of his/her Entry, in whole or in part. If the selected entrant: (a) fails to correctly answer the skill-testing question; (b) fails to sign the Contest documents as aforesaid within the time specified by the Sponsor; and/or (c) cannot accept the Grand Prize for any reason; then he/she will be disqualified (and will forfeit all rights to the Grand Prize).

6. GENERAL CONDITIONS:

The Releasees will not be liable for: (i) failure of Facebook or any website used during the Contest; (ii) any technical malfunction or other problems relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry (or part thereof) to be received by the Contest Parties for any reason including, but not limited to, technical problems or traffic congestion on the Internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating, uploading or downloading any material in the Contest; and/or (v) any combination of the above.

In the event of a dispute regarding who submitted an Entry, the Sponsor reserves the right, in its sole and absolute discretion, to deem the Entry to have been submitted by the authorized account holder of the Facebook account submitted at the time of entry. “Authorized account holder” is defined as the person who is assigned an account by Facebook. An entrant may be required to provide proof that he/she is the authorized account holder of the Facebook account associated with the selected Entry and, if applicable, that he/she has all necessary consents, permissions and/or licenses as required by these Rules.

The Sponsor reserves the right, subject to the approval of the Régie des alcools, des courses et des jeux (the “Régie”), to withdraw, suspend or amend this Contest in any way without prior notice or obligation, or to amend these Rules, in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest or the odds of winning as contemplated by these Rules. Any attempt to deliberately damage any website or to undermine the legitimate operation of this Contest may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor, with the consent of the Régie, reserves the right to cancel, amend or suspend this Contest, or to amend these Rules, without prior notice or obligation, in the event of any printing, administrative, technical or other error or difficulty or any kind, or for any other reason.

This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal, including, without limitation, any decisions regarding the eligibility/disqualification of entrants or Entries.

The Sponsor reserves the right, in its sole and absolute discretion, and without prior notice or obligation, with the consent of the Régie, to adjust any of the dates, timeframes or procedueres stipulated in these Rules, to the extent necessary, for purposes of verifying compliance by any entrant or Entry with these Rules, or as a result of technical problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules.

For Quebec residents: Any litigation respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the board only for the purpose of helping the parties reach a settlement.

This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook. You are providing your information to the Sponsor and not Facebook. The Sponsor respects your right to privacy. By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry only for the purpose of administering the Contest and, only if consent is given at the time of entry, to provide the entrants with information regarding upcoming promotions and/or events from the Sponsor and in accordance with Sponsor’s privacy policy (available at http://www.mercedesbenzedmontonwest.com/privacy.htm ), unless the entrant otherwise agrees.

In the event of any discrepancy or inconsistency between the terms and conditions of the English version of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to:

the Contest Entry Form, French version of these Rules, and/or point of sale, television, print or online advertising; the terms and conditions of these English Rules shall prevail, govern and control to the extent of such inconsistency.

Any waiver of any right or obligation under these Rules by Sponsor in respect of any particular entrant or Entry does not constitute a general waiver of any such right or obligation in respect of all entrants or Entries.
